These Terms of Use ("Agreement") govern your access to and use of the Adzip platform ("Platform"), provided by Adzip Technologies Pvt. Limited ("Adzip," "we," or "us"). By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree to these terms, you may not access or use the Platform.

1. Acceptance of Terms
   By using the Platform, you affirm that you are at least 18 years old and capable of entering into a binding contract. If you are accessing the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to this Agreement. If you do not agree with any part of this Agreement, you should discontinue the use of the Platform.
    

2. Description of Services
   Adzip provides a co-branded campaign platform for direct-to-consumer (D2C) brands ("Services"). The Services allow brands to engage in joint promotions, collaborate in ad creation, automate storyline generation, and access partner audiences. Our platform utilizes advanced technology, including our Intelli-AI campaign collaboration engine powered by ChatGPT, to help reduce customer acquisition costs and increase ad reach.
    

3. Use of the Platform

   1. Account Registration: In order to use certain features of the Platform, you may be required to create an account. You must provide accurate and complete information during the registration process and keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and are solely responsible for all activities that occur under your account.

   2. Acceptable Use: You agree to use the Platform in compliance with all applicable laws and regulations and in a manner consistent with this Agreement. You shall not use the Platform to engage in any unlawful, fraudulent, or abusive activities, or to transmit any harmful or malicious content. Adzip reserves the right to monitor user activity and to suspend or terminate accounts that violate these terms.

   3. Intellectual Property: The Platform and all its associated content, including but not limited to software, graphics, logos, and trademarks, are the property of Adzip or its licensors. You may not modify, reproduce, distribute, or create derivative works based on the Platform without our prior written consent.

   4. Data Privacy: We collect and process personal data in accordance with our Privacy Policy. By using the Platform, you consent to our collection, use, and disclosure of your personal information as described in the Privacy Policy.
       

4. Fees and Payments
   Adzip may charge fees for certain features or services provided through the Platform. Any fees or charges will be clearly communicated to you, and you agree to pay such fees in a timely manner. All payments shall be made in the currency specified by Adzip, and you are responsible for any applicable taxes or fees associated with your use of the Platform.
    

5. Limitation of Liability
   To the fullest extent permitted by law, Adzip and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, arising out of or in connection with your use of the Platform. Adzip's total liability under this Agreement shall be limited to the amount paid by you, if any, for the use of the Platform during the twelve (12) months preceding the event giving rise to the liability.
    

6. Termination
   Adzip may terminate or suspend your access to the Platform at any time, for any reason or no reason, without prior notice or liability. Upon termination, all rights granted to you under this Agreement will cease, and you must cease all use of the Platform.
    

7. Governing Law and Dispute Resolution
   This Agreement shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Uttar Pradesh, India.
    

8. Modifications to the Agreement
   Adzip reserves the right to modify this Agreement at any time. Any changes will be effective immediately upon posting the revised Agreement on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the modified Agreement.
    

9. Severability
   If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law. The failure of Adzip to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
    

10. Entire Agreement
    This Agreement constitutes the entire agreement between you and Adzip regarding your use of the Platform and supersedes any prior or contemporaneous agreements, understandings, or representations.
     

11. Cancellation and Refund

    1. Subscription Cancellation: If you wish to cancel your subscription to the Adzip platform, you may do so at any time. To cancel your subscription, please follow the instructions provided on the Platform or contact our customer support.
        

    2. Refund Eligibility: Refunds for subscription cancellations will be handled as follows:

       1. Yearly Plan: If you are subscribed to the yearly plan and cancel within 15 days of your initial subscription, you will be eligible for a full refund.

       2. Monthly Plan: Refunds for the monthly plan are not available. If you cancel your subscription, you will not be eligible for a refund.
           

    3. Refund Process: To request a refund, please contact our customer support within the eligible refund period specified above. Refunds will be processed using the original payment method used for the subscription. Please note that it may take a reasonable amount of time to process the refund, and any associated transaction fees or charges incurred during the refund process may be deducted from the refund amount.
        

    4. Non-Refundable Services: Please note that fees for any additional services, add-ons, or third-party integrations are non-refundable. This refund policy only applies to the subscription fee for the Adzip platform.|
        

12. Changes to the Refund Policy Adzip reserves the right to modify the cancellation and refund policy at any time. Any changes to the refund policy will be communicated to you through the Platform or by other means of notice. Your continued use of the Platform after any changes to the refund policy constitutes your acceptance of the modified policy.
    
    Please note that this cancellation and refund policy applies solely to the Adzip platform subscription and does not cover any separate agreements or transactions between you and other parties involved in joint promotions or campaigns facilitated through the Platform.
